Advisor Terms of Participation

To become a VERDE advisor, you must submit an application through the VERDE platform and be approved by VERDE in its sole discretion. Approval is contingent on meeting all eligibility requirements, including but not limited to:

Licensure — you must hold all licenses, registrations, and certifications required by applicable federal, state, and local law to provide the financial services you offer through the platform.

Good standing — you must not be subject to any pending regulatory action, suspension, revocation, or material disciplinary proceeding related to your professional licenses.

Background review — VERDE reserves the right to conduct background checks and review your regulatory history through FINRA BrokerCheck, the NAIC, state insurance databases, or other applicable sources.

By applying to and participating in the VERDE advisor network, you represent and warrant that you meet all eligibility requirements and will maintain them throughout your participation.

Access to the VERDE advisor platform requires an active paid subscription. Subscription tiers, features, and pricing are described on the VERDE Advisor Pricing page and are subject to change with 30 days' notice.

Billing — subscription fees are billed on a recurring monthly or annual basis, as selected at enrollment. Fees are charged in advance at the start of each billing period.

No refunds — subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access through the end of your current billing period.

Failed payments — if a payment fails, VERDE may suspend your access to the platform until payment is resolved. VERDE reserves the right to terminate your account after 30 days of non-payment.

Taxes — you are responsible for all applicable taxes on subscription fees.

VERDE matches consumer inquiries ("leads") to advisors based on ZIP code coverage, vertical specialization, and subscription tier. Lead delivery is subject to the following terms:

No guarantee of leads — VERDE does not guarantee a minimum number of leads per billing period. Lead volume depends on consumer demand in your service area.

Exclusivity — leads are not exclusive unless your subscription tier expressly provides for exclusive lead delivery. Standard tier leads may be shared with up to three advisors serving the same ZIP code.

Lead quality — VERDE makes reasonable efforts to deliver qualified leads but does not warrant the accuracy of consumer-provided information or the likelihood of conversion.

Contact obligations — you agree to make a good-faith effort to contact each lead within one business day of delivery. Repeated failure to contact leads may result in suspension of lead delivery.

As a VERDE advisor, you agree to uphold the following standards at all times:

Fiduciary and suitability obligations — you must comply with all applicable fiduciary, suitability, and best-interest standards required by your licenses and applicable law when advising consumers.

Accurate representation — you may not misrepresent your credentials, experience, services, or fees to consumers or on your VERDE profile.

No fee-splitting — you may not pay or receive referral fees, kickbacks, or other compensation in connection with leads delivered through VERDE except as permitted by applicable law and disclosed to consumers.

Compliance with law — you are solely responsible for ensuring that your services comply with all applicable federal, state, and local laws and regulations.

Consumer complaints — you agree to respond promptly and in good faith to any consumer complaint escalated to VERDE.

VERDE may display consumer ratings and reviews of your services on the platform. By participating in the VERDE network, you acknowledge and agree that:

Reviews are consumer-generated — VERDE does not author, edit, or endorse consumer reviews. VERDE may remove reviews that violate its Ratings & Review Policy.

Right to respond — you may submit a professional response to any review of your services through your advisor dashboard. Responses must comply with VERDE's content standards.

No manipulation — you may not solicit, incentivize, or otherwise manipulate consumer reviews. Violations may result in immediate suspension.

Dispute process — if you believe a review is false, defamatory, or violates VERDE's policy, you may submit a dispute through your dashboard. VERDE will review disputes within 10 business days.

Consumer contact information and inquiry details delivered to you as leads are provided solely for the purpose of responding to that consumer's inquiry. You agree that:

Limited use — you will use consumer data only to respond to the specific inquiry for which it was provided. You may not use consumer data for cross-selling unrelated products or services without the consumer's express consent.

No resale — you will not sell, share, or transfer consumer data to any third party.

Data security — you will maintain reasonable security measures to protect consumer data from unauthorized access or disclosure.

Compliance — you will comply with all applicable privacy laws, including state consumer privacy statutes, in your handling of consumer data.

VERDE grants you a limited, non-exclusive, non-transferable license to use the VERDE platform and any VERDE-provided materials solely for the purpose of participating in the advisor network.

You may not use the VERDE name, logo, or trademarks in any marketing materials, social media profiles, or other communications without VERDE's prior written consent. Approved usage guidelines are available in the Advisor Resources section of your dashboard.

You retain ownership of any content you submit to your advisor profile. By submitting content, you grant VERDE a non-exclusive, royalty-free license to display that content on the platform.

VERDE may suspend or terminate your advisor account at any time, with or without cause, upon notice. Grounds for immediate suspension without notice include:

License revocation or suspension — if any required professional license is revoked, suspended, or subject to a material disciplinary action.

Consumer harm — credible evidence of consumer fraud, misrepresentation, or other conduct causing harm to consumers.

Material breach — a material breach of these Advisor Terms that is not cured within 10 days of written notice.

Upon termination, your access to the platform will be revoked and any pending leads will be reassigned. No refund of prepaid subscription fees will be issued except as required by law.

To the maximum extent permitted by applicable law, VERDE's total liability to you for any claim arising out of or related to these Advisor Terms or your use of the platform shall not exceed the total subscription fees paid by you in the three months preceding the claim.

VERDE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, even if VERDE has been advised of the possibility of such damages.

VERDE does not warrant that the platform will be uninterrupted, error-free, or free of security vulnerabilities.

These Advisor Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Advisor Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Texas. Judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

VERDE may update these Advisor Terms from time to time. We will notify you of material changes by email and by posting the updated terms on the platform at least 30 days before they take effect. Your continued participation in the VERDE advisor network after the effective date constitutes your acceptance of the updated terms.
